Terms of Service

Welcome to the TF Fiscal Brazilian e-invoicing and tax API service. Before using this platform, please read the following terms carefully. By registering an account, signing a commercial contract, or using any service on this platform, you are deemed to have agreed to all of these terms.

1. Definitions

• "The Platform" refers to the TF Fiscal brand and its website (www.tfnfe.com), console, API interfaces and accompanying services.
• "We" / "Us" refers to Tongfu International Network Technology (Shenzhen) Co., Ltd. and its affiliate TF Software Ltda.
• "User" or "You" refers to the business user that registers for and uses the Platform's services.
• "Service" refers to the Brazilian e-invoicing API, Dashboard, archiving, technical support and other offerings the Platform provides to users.

2. Scope of Service

The Platform provides users with API interfaces, console management, Webhook callbacks, XML / PDF archiving, status lookup, cancellation and correction, and other services related to Brazilian e-invoices (NF-e / NFS-e / NFC-e), along with accompanying technical documentation and technical support.

3. User Rights and Obligations

3.1 Your Rights

• Use all features of the Platform within the scope of your plan
• Receive the technical support and after-sales service we provide
• Export and query the invoice data you upload and generate
• Exercise your data rights in accordance with the Platform's Privacy Policy

3.2 Your Obligations

• Provide truthful, accurate and lawful registration information and invoicing data
• Hold a valid, lawful Brazilian CNPJ, Inscrição Estadual and A1 digital certificate
• Be responsible for account security and not share your account, API Key or certificate with unauthorized third parties
• Not use the Platform for any activity that violates Brazilian or Chinese law or international conventions
• Pay service fees on time as agreed in the contract
• Comply with all requirements of Brazilian tax law regarding invoicing compliance; the Platform provides tools and technology, but legal responsibility for the content of invoices rests with you

4. Billing, Payment and Renewal

• Specific plan prices, billing methods and overage rates are governed by the commercial contract signed between you and us
• Invoice allowances within a plan do not carry over to the next billing cycle
• If payment is overdue by more than 15 days, we have the right to suspend the service; by more than 30 days, we have the right to terminate the contract
• Within 30 days before the contract expires, you may choose to renew, upgrade, downgrade or terminate

5. Service Level Agreement (SLA)

• Starter / Pro plans: API availability ≥ 99.5%
• Enterprise plan: API availability ≥ 99.99%, with compensation as agreed in the contract if not met
• Downtime caused by SEFAZ maintenance, network failures, force majeure and similar events is not counted in SLA statistics

6. Intellectual Property

The intellectual property in the Platform's software, API, documentation, logo, trademarks, etc. belongs to TF Software Ltda and/or Tongfu International Network Technology (Shenzhen) Co., Ltd. Without written permission, users may not copy, reverse-engineer, redistribute, or use these for purposes outside this agreement. Invoice data generated by the user on the Platform belongs to the user.

7. Limitation of Liability

To the maximum extent permitted by law:

• We provide the service "AS IS" and do not guarantee that it will be entirely error-free or absolutely available
• We are not liable for invoices being rejected due to the user incorrectly filling in tax fields, an invalid CNPJ, an expired certificate, and the like
• We are not liable for indirect damages, loss of profit, loss of goodwill, and similar losses
• In any case, our cumulative liability under this agreement shall not exceed the total service fees you actually paid in the 12 months prior to the event

8. Termination

Either party may terminate this agreement in any of the following circumstances:

• The contract expires without renewal
• The other party materially breaches the agreement and fails to remedy it within 30 days of written notice
• The other party becomes bankrupt, is liquidated, or ceases operations
• Force majeure continues for more than 60 days

After termination, you may still export all historical data within 30 days.

9. Dispute Resolution and Governing Law

• If the contracting entity is Tongfu International Network Technology (Shenzhen) Co., Ltd.: the laws of the People's Republic of China apply, with jurisdiction in the People's Court of Futian District, Shenzhen
• If the contracting entity is TF Software Ltda: the laws of the Federative Republic of Brazil apply, with jurisdiction in the courts of the State of São Paulo
• The parties should resolve disputes through friendly negotiation first

10. Cookie Notice

This website uses cookies and similar technologies to provide the following functions:

• Essential cookies: keep you logged in and remember your preferences (cannot be disabled)
• Analytics cookies: understand traffic and page performance through services such as Baidu Analytics
• Performance cookies: identify page-load and API-response performance

You can disable cookies through your browser settings, but some features may not work properly as a result. We do not use cookies to collect personal information unrelated to the service, nor do we sell cookie data to advertising networks.

11. Miscellaneous

If any provision of these terms is found to be invalid, it does not affect the validity of the other provisions. We may revise these terms in response to laws, regulations or business changes; significant changes will be notified to you 30 days in advance.
